Norwest is a specialist contractor services business supplying skilled geologists and field technicians to the Australian mining and exploration industry. Norwest holds a labour hire licence under the Labour Hire Licensing Act 2017 (Qld) and is classified as a scientific and analytical services provider.

Our websites include norwestexploration.com.au, norgeo.com.au, and any subdomains (including norgeo.norwestexploration.com.au) (together, the "Websites"). The NORGEO platform (the "Platform") is our recruitment and candidate management service accessible through the Websites.

2. Scope and Acceptance

These Terms of Use ("Terms") govern your access to and use of our Websites, Platform, and all services, resources, content, and data made available through them (collectively, the "Services").

These Terms apply to all users of the Websites and Services, including:

• any individual or entity that visits, browses, or otherwise accesses the Websites, whether registered or unregistered ("Users");
• individuals who register an account on the Platform to seek employment or engagement opportunities in the mining and exploration industry ("Candidates"); and
• companies, partnerships, or other entities that engage with Norwest to source skilled personnel through the Platform ("Clients").

Where these Terms refer to "you" or "your", this means all Users, Candidates, and Clients as applicable.

By accessing or using our Websites or Services, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must stop using the Websites and Services immediately.

3. Changes to These Terms

We may revise these Terms at any time by updating this page. The date of the most recent revision will be shown at the top of this document. We will take reasonable steps to bring material changes to the attention of registered users, including by posting a notice on the Websites or sending an email notification.

Changes will take effect for new users immediately upon posting. For registered users, material changes will take effect thirty (30) days after notification, unless you indicate your acceptance earlier. Your continued use of the Websites or Services after the effective date constitutes your acceptance of the revised Terms. If you do not agree with any changes, you should stop using the Websites and Services and, if applicable, close your account. This clause does not limit any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) ("ACL").

4. Changes to the Websites and Services

We may update, modify, suspend, or withdraw our Websites and Services (in whole or in part) at any time without notice. We do not guarantee that our Websites or Services, or any content on them, will always be available or uninterrupted. We will use reasonable efforts to give you notice of any material changes, suspensions, or withdrawals.

We will not be liable to you if the Websites or Services are unavailable for any reason at any time or for any period.

5. Your Obligations

You are responsible for ensuring that your own information technology, devices, and internet connection meet the requirements to access our Websites and Services. You are responsible for maintaining appropriate security software on your devices.

You agree that you will comply with all applicable Australian Commonwealth, state, and territory laws and regulations when using the Websites and Services. Without limiting the generality of the foregoing, when using the Websites and Services you must not:

• use the Websites or Services for any unlawful purpose or in any manner that breaches any applicable law, regulation, or governmental order;
• reproduce, copy, distribute, sell, lease, sublicense, or otherwise commercially exploit any part of the Websites, Platform, or Services without our prior written consent;
• introduce viruses, trojans, worms, logic bombs, ransomware, or other material that is malicious or technologically harmful;
• attempt to gain unauthorised access to any part of the Websites, the servers on which the Websites are hosted, or any connected server, computer, or database;
• conduct any denial-of-service attack or distributed denial-of-service attack against the Websites or Platform;
• use any automated means (including scraping, bots, spiders, or crawlers) to access, copy, or download content from the Websites or Platform, except as expressly permitted by our robots.txt file for the purposes of indexing by public search engines;
• use framing, mirroring, or similar techniques to enclose any trademark, logo, or proprietary content of Norwest or NORGEO;
• impersonate any person or entity, or misrepresent your identity or affiliation with any person or entity;
• upload, post, or transmit content that is defamatory, obscene, discriminatory, harassing, threatening, or otherwise objectionable;
• interfere with or disrupt the integrity or performance of the Websites, Platform, or Services; or
• reverse engineer, decompile, or disassemble any aspect of the Platform or its underlying technology, except to the extent permitted by applicable law.

You are also responsible for ensuring that anyone who accesses our Websites or Services through your internet connection or account is aware of these Terms and complies with them.

In the event of any breach of these obligations, we reserve the right to immediately suspend or terminate your access to the Websites and Services.

6. Accounts

Creating an Account

To access certain features of the Platform, you must register and create an account ("Account"). When creating an Account, you must provide accurate, current, and complete information. You must update your Account details promptly if they change.

You must be at least 18 years of age to create an Account. By registering, you represent and warrant that you meet this age requirement.

Account Security

You are responsible for maintaining the confidentiality of your Account login credentials and for all activity that occurs under your Account. You must not share your Account credentials with any third party or allow anyone else to use your Account.

If you become aware of, or suspect, any unauthorised use of your Account or any security breach, you must notify us immediately at [email protected]. You are responsible for any consequences resulting from late or failure to notify us of any unauthorised access.

Account Suspension and Termination

We reserve the right to suspend or terminate your Account at any time if we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful activity, or if required by law. We will give you reasonable notice where practicable.

You may close your Account at any time by contacting us. Upon closure, we will handle your personal information in accordance with our Privacy Policy and the requirements of the Privacy Act 1988 (Cth).

7. Candidate-Specific Terms

Profile and Information

If you register as a Candidate, you may create a profile containing your professional qualifications, experience, competencies, certifications, location preferences, and other relevant details. You are solely responsible for ensuring that all information in your profile is accurate, truthful, and not misleading.

You represent and warrant that any qualifications, licences, certifications, or professional registrations listed on your profile are current, valid, and have not been suspended, revoked, or subject to conditions that would affect your ability to perform the relevant work.

Profile Visibility

By creating a Candidate profile on the Platform, you acknowledge that your profile information may be made visible to registered Clients and Norwest personnel for the purposes of matching you with suitable opportunities. You can manage your profile visibility settings within your Account. We will handle your personal information in accordance with our Privacy Policy.

No Employment Guarantee

The Platform is a tool to facilitate the connection between Candidates and Clients. Creating a profile or applying for an opportunity through the Platform does not guarantee employment, engagement, or placement. Norwest does not guarantee the accuracy, completeness, or legitimacy of any opportunity listed on the Platform by a Client, though we take reasonable steps to verify the bona fides of Clients.

Application Process

If you apply for an opportunity through the Platform, your application and profile information will be shared with the relevant Client and Norwest. By applying, you consent to this sharing for the purposes of assessing your suitability. This consent is given for the purposes of Australian Privacy Principle 6 (Use or disclosure of personal information) under the Privacy Act 1988 (Cth).

8. Client-Specific Terms

If you access the Platform as a Client, your use of the Platform for sourcing personnel is subject to these Terms and, where applicable, any separate service agreement you may enter into with Norwest ("Service Agreement"). In the event of any inconsistency between these Terms and a Service Agreement, the Service Agreement prevails to the extent of the inconsistency.

Clients acknowledge that Norwest does not guarantee the accuracy of Candidate profiles, though Norwest takes reasonable steps to verify information. Clients must conduct their own due diligence, including site-specific inductions, competency assessments, and any verification required by applicable work health and safety legislation.

9. Intellectual Property

Our Intellectual Property

All intellectual property rights in the Websites, Platform, and Services including but not limited to the NORWEST and NORGEO trademarks and trade names, logos, text, graphics, images, software, data compilations, page layout, underlying code, and all related documentation are owned by or licensed to Norwest Exploration Pty Ltd ("Our Content"). These rights are protected by the Copyright Act 1968 (Cth), the Trade Marks Act 1995 (Cth), and other applicable Australian and international intellectual property laws.

Except as expressly set out in these Terms, all rights are reserved. Nothing on the Websites shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any trademark, logo, or service mark displayed on the Websites without the prior written consent of the owner.

Limited Licence

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Websites and Services solely for your own lawful purposes. You must not use any part of the Websites, Our Content, or any User Content for commercial purposes without our prior written consent.

Unauthorised use of the Websites or any content on them terminates the licence granted under this clause.

User Content

You retain ownership of any content you upload, submit, or post to the Websites or Platform ("User Content"), including profile information, CVs, documents, and communications.

By submitting User Content, you grant Norwest a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, adapt, store, and display your User Content solely for the purposes of operating the Platform, providing the Services, and facilitating your engagement with Clients. This licence continues until you delete the relevant User Content or close your Account, except to the extent we are required to retain it by law.

You represent and warrant that you have all necessary rights to submit your User Content and that it does not infringe the intellectual property or other rights of any third party.

You acknowledge that all User Content is the sole responsibility of the person who submitted it. Norwest does not pre-screen, endorse, or verify User Content and is not liable for any User Content posted on the Platform.

10. Privacy and Data Protection

We are committed to protecting your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy, which is available on our Websites and forms part of these Terms.

By using our Websites and Services, you consent to the collection and use of your personal information as described in our Privacy Policy.

• We only collect personal information that is reasonably necessary for one or more of our functions or activities (APP 3).
• We will take reasonable steps to notify you of certain matters when we collect your personal information, including the purposes for which we collect it (APP 5).

12. Artificial Intelligence and Automated Decision-Making

Use of AI and Automated Tools

Norwest uses artificial intelligence ("AI") and automated tools in the operation of the Platform and its business. We are committed to transparency about how these tools are used, particularly where they involve your personal information.

AI and automated tools may currently be used, or may in the future be used, in connection with the following activities:

• CV and document parsing: Automated tools may be used to extract, organise, and structure information from CVs, resumes, qualifications documents, and other materials submitted by Candidates, to facilitate review by Norwest personnel and presentation to Clients.
• Candidate–opportunity matching: Automated tools may be used to analyse Candidate profile information (including qualifications, experience, competencies, and location preferences) against the requirements of available opportunities to generate suggested matches or rankings. Where such matching is used, it assists but does not replace human decision-making by Norwest personnel.
• Communications: AI tools may be used to draft, personalise, or assist in the preparation of communications with Candidates, Clients, and other parties, including emails, notifications, and recruitment correspondence.
• Content generation: AI tools may be used to assist in the creation of job descriptions, marketing materials, website content, reports, and other business documents published on or through the Websites and Platform.
• Platform design and functionality: AI tools may be used to assist in the design, development, testing, and improvement of the Platform's features and user interface.

Human Oversight

Norwest maintains human oversight of all decisions that could significantly affect an individual's rights or interests. Where automated tools are used to generate recommendations, rankings, or assessments involving Candidates or Clients, those outputs are reviewed by Norwest personnel before any material decision is made. No Candidate will be excluded from consideration for an opportunity solely on the basis of an automated process without human review.

Right to Request Human Review

If you are a Candidate and you believe that an automated process has been used in a way that has materially affected your application or candidacy for an opportunity, you may request a human review of that decision by contacting us at [email protected]. We will acknowledge your request promptly and provide you with the outcome of the review within a reasonable timeframe.

Limitations of AI-Generated Content

Content generated or assisted by AI tools (including job descriptions, communications, and website content) may contain errors, inaccuracies, or omissions. We take reasonable steps to review AI-assisted outputs for accuracy, but we do not warrant that all AI-generated content is complete, current, or error-free. You should not rely solely on AI-generated content when making decisions that may affect your rights or interests.

Automated Decision-Making and Privacy

Where our use of AI or automated tools involves personal information and could reasonably be expected to significantly affect your rights or interests, we will disclose the kinds of personal information used and the kinds of decisions made (or supported) by automated means in our Privacy Policy, in accordance with Australian Privacy Principles 1.7, 1.8, and 1.9 as introduced by the Privacy and Other Legislation Amendment Act 2024 (Cth). Changes to Our Use of AI

We may introduce new AI or automated tools, or change how existing tools are used, from time to time. 14. Disclaimers and Limitation of Liability

General Disclaimers

To the maximum extent permitted by law, the Websites and Services are provided on an "as is" and "as available" basis. We do not warrant that the Websites or Services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components.

Content available on our Websites (including job listings, company profiles, and general information) is provided for general informational purposes only and does not constitute professional advice. You should obtain independent professional advice before making any decisions based on content obtained through the Websites or Services.

Australian Consumer Law Protections

Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee or other right or remedy that applies under the ACL or any other applicable law that cannot be excluded, restricted, or modified by agreement.

Under the ACL, our Services come with guarantees that cannot be excluded. For major failures with the Services, you are entitled to cancel and obtain a refund, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the Services remedied if they fail to be of acceptable quality and the failure does not amount to a major failure. To the extent we are liable under a consumer guarantee, our liability is limited (where permitted by law) to the re-supply of the Services or payment of the cost of having the Services re-supplied.

Limitation of Liability

Subject to the consumer guarantees under the ACL and to the maximum extent permitted by law, Norwest, its directors, officers, employees, contractors, and agents ("Norwest Parties") will not be liable to you for any:

• indirect, incidental, special, consequential, or punitive damages;
• loss of profits, revenue, data, business opportunities, or goodwill; or
• any other losses arising out of or in connection with your use of (or inability to use) the Websites or Services,

however arising, whether in contract, tort (including negligence), statute, equity, or otherwise, even if we have been advised of the possibility of such losses.

To the maximum extent permitted by law, the total aggregate liability of the Norwest Parties for all claims arising out of or in connection with these Terms or your use of the Websites or Services is limited to AUD $100. This limitation does not apply to liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Important: Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply to you, and you may have additional rights. Nothing in these Terms is intended to limit any rights you have under the ACL or any other mandatory statutory protections.

15. Indemnity

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Norwest Parties from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or connected with:

• your use of, or misuse of, the Websites or Services;
• your breach of any provision of these Terms;
• your violation of any applicable law, rule, or regulation;
• your violation of any third-party right, including any intellectual property, privacy, or confidentiality right;
• any User Content you submit or post; or
• any dispute between you and any third party.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter subject to indemnification by you (without limiting your indemnification obligations), and you agree to cooperate with our defence of those claims. This indemnity survives the termination of your Account and these Terms.

This clause does not apply to the extent that the relevant claim arises from our own negligence, wilful misconduct, or breach of these Terms, or to the extent that it would be void or unenforceable under the ACL or any other applicable law.

16. Electronic Communications

Communications between you and Norwest may take place electronically, whether through the Platform, email, or notices posted on the Websites. For the purposes of the Electronic Transactions Act 1999 (Cth) and the Electronic Transactions (Queensland) Act 2001, you consent to receiving communications from Norwest in electronic form, and you agree that all terms, agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.

17. Force Majeure

Norwest will not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, industrial disputes, interruptions to telecommunications or internet services, cyberattacks, power failures, or failures of third-party service providers.

18. Assignment

You may not assign, subcontract, delegate, or otherwise transfer any of your rights or obligations under these Terms without our prior written consent. Any attempted transfer in violation of this clause is void.

We may transfer or assign our rights and obligations under these Terms at any time, including as part of a sale, merger, or restructuring of our business. We will take reasonable steps to notify you of any such transfer.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, while preserving the parties' original intent.

20. Waiver

A failure or delay by Norwest in exercising any right or remedy under these Terms does not constitute a waiver of that right or remedy. A waiver of any right or remedy is only effective if given in writing and does not operate as a waiver of any subsequent breach or default.

21. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and Norwest in relation to your use of the Websites and Services and supersede all prior discussions, arrangements, or agreements relating to the subject matter.

22. Notice

Where you are required to give notice to Norwest under these Terms, you may do so by email to [email protected] or by mail to our registered office address. We will give notice to you at the email address associated with your Account, or by a general notice posted on the Websites. Email notices are deemed received on the business day following dispatch.

23. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Queensland, Australia. You and Norwest irrevocably submit to the non-exclusive jurisdiction of the courts of Queensland and any courts competent to hear appeals from those courts.

Nothing in this clause limits the right of either party to seek interlocutory or injunctive relief in any court of competent jurisdiction, or the application of any mandatory consumer protection laws, including the ACL.

24. Reporting and Complaints

If you become aware of any content on the Websites or Platform that you believe is unlawful, infringes these Terms, or is otherwise inappropriate, please report it to us at [email protected]. Please include a description of the content, its location on the Platform, and your reasons for reporting it.

We will acknowledge receipt of your report promptly and take appropriate action, which may include content removal, account suspension, or referral to relevant authorities. We will notify you of our decision where appropriate.

If you have a complaint about our Services that cannot be resolved through our internal processes, you may lodge a complaint with the relevant regulatory body, such as the Queensland Office of Fair Trading or the Australian Competition and Consumer Commission (ACCC).
